These General Conditions apply to all Client Orders and automatically become Contractual between both parties and take effect the moment the order is made. That is, the act of making an Order implies the prior understanding and express acceptance without the Client´s reservations to these Terms and Conditions of Sales and Guaranty, which govern all its terms, unless the opposite is stated in the Order or other documents establishing a contractual relationship. The start of the jobs described in the Order request, without any communication of good faith stating otherwise, imply that these General Terms and Conditions fully take effect. Any verbal agreements or declarations do not take effect unless they are confirmed in writing by INDUSTRIAS DE SEGURIDAD BAUS, S.A.
PRICES AND TERMS OF PAYMENT
The prices indicated in the Price list for the supplied security elements or materials presented by INDUSTRIAS DE SEGURIDAD BAUS, S.A. do not include the indirect taxes set by the Administration, except if expressly indicated by it. The prices for materials do not include installation, even if necessary. In particular, the costs of additional works, masonry, painting and/or the materials used for work risk prevention, and other costs are fully assumed by the Client.
If the delivery is within the Spanish peninsula, the transportation costs to the client´s door are included in the price as long as the order is greater than 300€ (tax not included). For shipments to Ceuta, Melilla, Balearic Islands or Canary Islands the delivery costs are not included in the price.
In no case do prices include the contracting of personnel and specialised resources to insert and install the materials to be used. If the client does not have the necessary means to carry out these tasks, INDUSTRIAS DE SEGURIDAD BAUS, S.A. will inform the client of the cost for this service. To start, prior acceptance on behalf of the client is required, including the cost in the corresponding invoice.
COMPLAINTS DUE TO TRANSPORTATION
If all or part of the merchandise is deteriorated, broken, bumped, lost or stolen, it is essential that upon the reception of the merchandise the client verifies that the delivery is complete and correct. If a problem is detected, report it in writing on the delivery receipt held by the delivery agent and report it to INDUSTRIAS DE SEGURIDAD BAUS, S.A. within no greater than 48 hours. The non-compliance of this regulation results in revoking the right to complain.
Returns of the merchandise are only admitted with prior authorisation from INDUSTRIAS DE SEGURIDAD BAUS, S.A.
When the reason for the return is not due to product defects or because it does not correspond to what the client has ordered, the expenses incurred to that point including delivery expenses (round-trip) will be invoiced to the client.
Products or merchandise that are not strictly standard may not be returned.
MERCHANDISE CAN NOT BE DELIVERED
If the merchandise can not be delivered for reasons due to the client, specifically when the information provided by the client is incorrect or incomplete and especially in the following situations:
- The existence of stairs, ramps, stand or other architectural barriers.
- The existence of debris or materials that must be removed for accessing or placing our merchandise.
- Impossible to get through hallways, turns or doors because of a limited width.
- Lack of the floor´s capacity to hold the weight of our material both in the final destination and in the necessary route to arrive to it.
In these situations, if it is possible to complete the delivery after some additional construction, we will inform the client of the cost, which must be consented in writing and charged in the invoice..
If the delivery can not be made, the expenses incurred to that point and delivery expenses (round-trip) will be invoiced to the client.
RESERVATION OF OWNERSHIP
All products supplied by INDUSTRIAS DE SEGURIDAD BAUS, S.A will be property of the company until full payment for the merchandise has been received.
DELIVERY OF SECURITY ELEMENTS OR MATERIALS
The delivery periods may be individually agreed to in each order, starting from the moment the Order is received by INDUSTRIAS DE SEGURIDAD BAUS, S.A., unless agreeing to something different.
These delivery periods may not be exacted if the following occur: justified causes, force majeure, or when the jobs are delayed upon the Client´s request,
or for reasons originating from the client´s other suppliers´ actions including not suiting the space or location where the material is to be delivered, or for reasons beyond the control or expectations of INDUSTRIAS DE SEGURIDAD BAUS, S.A., except when expressly indicated in a written agreement.
INDUSTRIAS DE SEGURIDAD BAUS, S.A. has liability insurance that covers the incidents that may arise while carrying out the work.
For any conflict that may arise from the interpretation of the fulfilment or non-fulfilment of the contracts stipulated between INDUSTRIAS DE SEGURIDAD BAUS, S.A. and its clients, both expressly renounce their own laws, and submit to the Courts and Tribune of Bilbao.
In accordance to the Organic Law on Personal Data Protection, the Client´s personal data is incorporated into a file that is under INDUSTRIAS DE SEGURIDAD BAUS, S.A.´s responsibility and is only reported to third parties when required for the development and fulfilment of the contract or when for the country´s Law Enforcement or Advocate of the People, the Inland Revenue, Judges or Tribunes.
